These general terms provide the standard governance baseline. Each specific client engagement is governed by an individual formal Engagement Letter (or Advisory Mandate) signed by an authorized representative of H3 ADVISORY & BUSINESS MANAGEMENT LTD. and the client.
Services rendered shall be strictly limited to the written scope set forth in the countersigned Engagement Letter. Any expansion of scope, additional statutory filing support, or forensic analyses requested shall require a formal written addendum and mutually agreed fee adjustment.
The quality and timeliness of advisory deliverables depend directly upon the completeness and accuracy of information provided by the client. The client agrees to:
Both parties agree to hold all commercial, strategic, and financial information disclosed during the engagement in absolute confidence. H3 Advisory maintains defense in depth technical controls and institutional administrative protocols to ensure client materials are protected against unauthorized inspection.
Upon full settlement of agreed professional fees, the client shall own the final tailored reports, standard operating procedures, and custom manuals delivered under the engagement. H3 Advisory retains ownership of its proprietary consulting methodologies, software models, working paper structures, and generalized frameworks utilized during execution.
H3 Advisory provides professional advice in accordance with the laws of the Federal Republic of Nigeria, international financial reporting standards (IFRS), and relevant professional codes of ethics. We do not provide advice intended to evade statutory obligations, conceal assets, or facilitate fraudulent transactions.
Our advisory outputs are designed for internal managerial and statutory governance purposes. While we execute our mandates with rigorous professional diligence, H3 Advisory is not liable for commercial business outcomes or operational losses resulting from management decisions taken independently by the client organization.
These terms and any related engagement letters shall be construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising shall first be submitted to mutual executive negotiation, followed by mediation in Abuja, Nigeria, before seeking recourse in competent courts of law.
